Introduction
These Terms of Service ("Terms") govern your use of COO Studio software and related services provided by WebMe Media Group Inc. ("we," "us," or "our"). By accessing or using COO Studio, you agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use COO Studio.
Access and Use Rights
Your Rights
We grant you a non-exclusive, non-transferable right to access and use the COO Studio web application (the "Service"). This means you can use the Service for your internal business purposes on any compatible web browser you control.
This right allows you to:
- Access COO Studio from any modern web browser
- Generate certificates of origin for your business
- Export and backup your data and settings
- Receive updates and support as provided
License Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the software
- Distribute, sell, lease, or sublicense the software
- Remove or modify any proprietary notices or labels
- Use the software for illegal or unauthorized purposes
- Attempt to circumvent any security measures
- Use the software to compete with our business
Subscriptions and Billing
Subscription Plans
Our Premium plan is available as a recurring monthly or annual subscription. You will be billed automatically at the start of each billing cycle. You may cancel at any time, and your access will continue until the end of the paid period.
- Monthly billing: $15 per month
- Annual billing: $150 per year (save 16%)
- Automatic renewal unless canceled
- Access continues until end of billing period after cancellation
Lifetime Plan
The Premium Lifetime plan is a one-time purchase granting a perpetual license to the Premium features of the Service, including all future updates. The Lifetime plan is non-refundable and non-transferable.

- Perpetual access to all Premium features
- Includes all future software updates
- Non-refundable and non-transferable
Billing and Payment
- All charges are in USD unless otherwise specified
- Payment required before Premium access is granted
- Subscription prices subject to change with 30 days notice
- Billing begins immediately upon subscription activation
Cancellation and Refunds
- Subscriptions can be canceled anytime from account settings
- Subscription payments are non-refundable
- After cancellation, account reverts to Starter (Free) plan
- Lifetime purchases are final and non-refundable
Effect of Cancellation or Non-Payment
If your subscription is canceled or payment fails, your account automatically reverts to the Starter (Free) plan with the following effects:
- You will be subject to the limitations of the Starter plan (25 products, 50 orders)
- Any data you created beyond those limits will remain accessible but you cannot add new data until you are within the limits or re-subscribe
- Premium features like e-commerce integrations will be disabled
- Generated certificates will include "Generated by COO Studio" watermarks
Your Role in Data Security
Because COO Studio saves data directly in your browser, its security depends on you. You agree to:
- Maintain a Secure Device: Use the Service on a computer you trust and that has up-to-date security software. Do not use COO Studio on public or shared computers.
- Protect Your Passphrase: Keep the master passphrase you create secure. We cannot recover it for you.
- Back Up Your Data: Regularly use the 'Export Backup' feature to save a secure copy of your data to your computer. Clearing your browser's cache or history may permanently delete your data from the browser.
Compliance
You are responsible for ensuring that your use of COO Studio and any certificates generated comply with all applicable laws, regulations, and trade requirements. While COO Studio includes validation features, ultimate compliance responsibility rests with you.
Data Accuracy
You are responsible for the accuracy and completeness of all data entered into COO Studio. We are not liable for errors or omissions in your data or resulting certificates.
Browser Requirements
You are responsible for using a modern, up-to-date web browser. COO Studio works best with Chrome, Firefox, Safari, or Edge. We may discontinue support for older browser versions with reasonable notice.
Intellectual Property
Our Rights
COO Studio and all related materials are protected by copyright, trademark, and other intellectual property laws. We retain all rights, title, and interest in the software.
The COO Studio name, logo, and related marks are trademarks of WebMe Media Group Inc.
Your Data
You retain ownership of all data you input into COO Studio. We do not claim any rights to your business data, certificates, or other content you create using the software.
Privacy and Data Handling
Your privacy is important to us. Our data handling practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

- Minimal analytics data is collected to improve the software
- You can opt out of data collection at any time
Updates and Support
Software Updates
- Free updates for the current major version
- Automatic update notifications
- Critical security updates may be automatic

Support Services
- Email support included with purchase
- Documentation and knowledge base access
- Best-effort support, no guaranteed response times
- Support may be discontinued for very old versions
Disclaimers
Important Legal Disclaimers
AS IS BASIS: COO Studio is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
NO COMPLIANCE GUARANTEE: While COO Studio includes validation features, we do not guarantee that certificates generated will meet all regulatory requirements or be accepted by customs authorities.
NO BUSINESS ADVICE: COO Studio is a software tool only. We do not provide legal, tax, or trade compliance advice. Consult qualified professionals for compliance guidance.
Limitation of Liability
To the maximum extent permitted by law, WebMe Media Group Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption or delays
- Customs penalties or regulatory fines
- Third-party claims or demands
Our total liability for all claims shall not exceed the amount you paid for COO Studio.
Termination
By You
You may terminate this agreement at any time by ceasing all use of the Service and clearing any related data from your browser storage if you wish.
By Us
We may terminate your license if you breach these Terms. Upon termination, you must cease using COO Studio and delete all copies.
Effect of Termination
Termination does not affect your right to keep certificates already generated or your obligation to pay any outstanding fees.
Governing Law
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date
- Notify users via email or in-app notification
- Provide reasonable notice before changes take effect
- Allow you to review changes before they become binding
Continued use of COO Studio after changes take effect constitutes acceptance of the updated Terms.
